Terms of Service

1. Acceptance of terms
By accessing the DOXALIO platform (hereinafter "the Service"), you unreservedly accept these Terms of Service. If you do not accept these terms, you must not use the Service.
2. Description of the service
DOXALIO is a SaaS platform for AI-powered document analysis, allowing users to upload PDF documents, analyze them via AWS Bedrock (Claude Sonnet), and obtain sourced answers to their questions.
The Service includes: text extraction (AWS Textract), semantic embedding generation (Amazon Titan), RAG search (Retrieval-Augmented Generation), automatic summarization, anomaly detection, and PDF export.
3. Account and identification
Access to the Service's features requires creating an account with an email address and a password. Your session is managed by a secure token (httpOnly JWT) stored in a session cookie, valid for 30 days.
You are responsible for keeping your credentials confidential. Any use of the Service from your account is deemed to be made by you. In the event of a compromise, contact contact@doxalio.com immediately.
4. Acceptable use
You agree not to use the Service to:
- Upload documents containing third-party data without their consent
- Infringe intellectual property rights
- Attempt to access other users' data
- Carry out cyberattacks (DDoS, injection, mass scraping)
- Distribute unlawful content (violence, hate speech, child sexual abuse material)
- Circumvent the Service's security mechanisms
5. Documents and intellectual property
You retain all rights to the documents you upload. By using the Service, you grant DOXALIO a limited, non-exclusive, non-transferable license to process these documents for the sole purpose of providing you with the Service.
DOXALIO claims no ownership rights over your documents. Your documents are never used to train AI models.
6. Availability and SLA
DOXALIO commits to maintaining Service availability according to your plan's SLA:
- Micro and Starter plans: best effort, no formal guarantee
- Pro and Business plans: 99.9% monthly availability SLA
- Scale plan: 99.99% monthly availability SLA
Availability is calculated excluding scheduled maintenance notified 48 hours in advance.
7. Limitation of liability
The Service is provided "as is". DOXALIO does not guarantee the absolute accuracy of AI-generated analyses. The Service's answers do not constitute professional legal, financial or accounting advice. Any important decision must be verified by a qualified professional.
DOXALIO's liability is limited, in any event, to the amounts paid by the user during the 12 months preceding the incident.
8. Pricing and payment
Prices are shown exclusive of tax on the pricing page. Billing is monthly or annual depending on the chosen plan. Any month started is due. The subscription renews automatically until explicitly cancelled.
In the event of non-payment, access to the Service may be suspended after formal notice remains without effect for 15 days.
9. Quotas and page counting
9.1 Definition of a document unit
The Service applies a monthly quota system expressed in document units (hereinafter "credits"). One credit corresponds to 3 pages or any fraction of 3 pages of an analyzed PDF document. The formula applied is:

- Document of 1 to 3 pages → 1 credit
- Document of 4 to 6 pages → 2 credits
- Document of 7 to 9 pages → 3 credits
- Document of 10 pages → 4 credits
9.2 Automatic counting at upload
The number of pages is determined automatically server-side at upload time, from the structure of the transmitted PDF file. This count is authoritative for quota calculation. If the detected page count is later refined by the extraction engine (AWS Textract), that corrected value is kept in your history, without retroactive effect on the period already billed.
9.3 Period and reset
The quota is monthly and resets on the subscription anniversary date (calendar day of the initial subscription). Credits not consumed at the end of the period are lost and do not roll over to the following month.
9.4 Quota overrun
When the monthly quota is reached, any new upload is blocked until the next reset or until an upgrade to a higher plan. An email notification is sent automatically when 80% of the quota is consumed. Users can check their remaining quota at any time from their documents area.
9.5 Rate limit (requests per minute) — BPO / Volume offer
Independently of the monthly quota (document count), the Service applies a rate limit on how many document submissions an account can make per minute: 5 requests/minute for a standard authenticated account, 3 requests/minute for unauthenticated use. This limit protects Service availability for all customers; it is a submission cap, not a processing cap — a request declined for rate reasons can be resubmitted the following minute, with no document or credit lost.
For Volume / BPO plans (bulk processing, see the dedicated pricing page), this rate limit is raised in proportion to the subscribed plan, so that each plan can be consumed within a timeframe consistent with its own monthly volume:

The boosted rate is an optional add-on, never enabled by default and never billed without an explicit request. The surcharge shown above is calculated as a percentage of the price of the subscribed plan: there is no additional fee, activation charge, or hidden tier beyond what appears in this table and on the corresponding pricing page. Tiers above Very large volume (very large-scale processing) are priced through a negotiated agreement, communicated in full before any signature, following the same transparency principle.
9.6 Cabinet offer — client folders
For accounts subscribed to the Cabinet offer (processing client folders on behalf of an accounting firm), the monthly credit quota defined in section 9.1 applies individually to each active client folder, rather than being pooled across the whole portfolio. The number of billed folders cannot fall below the minimum shown on the dedicated pricing page. The counting, reset, and overrun rules in section 9 apply the same way, folder by folder.
9.7 Cabinet offer — third-party client documents
When an accounting firm uploads, under the Cabinet offer, documents belonging to one of its own clients (the "end client"), the firm warrants that it has obtained all necessary authorization from that end client for the transmission and processing of their documents by the Service, including under applicable data protection regulations.
DOXALIO acts exclusively as the firm's technical service provider: DOXALIO has no direct contractual relationship with the end client, provides no advice to them, and bears no responsibility for the professional relationship between the firm and its client. As set out in section 5, the end client's documents and data remain their property; the firm is solely responsible for uploading them to the Service.
The firm remains solely responsible, toward its end client, for the professional review of results produced by the Service before any final accounting, tax, or legal use (see section 7). Access to folders within a single Cabinet account (allocation between team members, preparers, and reviewers) is the firm's own internal organizational responsibility.
9.8 One-off Audit offer — exceeding the batch
The one-off Audit offer is not a subscription: it grants access to a fixed batch of documents for a single one-time payment, with no monthly quota and no reset cycle (the overage rules in sections 9.1 through 9.6 do not apply to this offer).
If the number of documents submitted exceeds the chosen batch, each additional document is billed at the rate shown on the Audit offer's pricing page, in effect at the time of order. This rate is disclosed before payment, alongside the batch price itself: there is no additional amount, activation fee, or hidden tier beyond what appears on that page.
10. Termination
You can cancel your subscription at any time from your customer area. Cancellation takes effect at the end of the current billing period. Your data is kept for 30 days after cancellation, then permanently deleted.
For the Cabinet offer, termination can apply to the entire subscription or to the removal of a single client folder from the billed portfolio. In the latter case, the number of billed folders cannot fall below the minimum in effect (see section 9.6) unless the subscription is terminated in full.
11. Partner Program — commission and payout
For any account enrolled in the Partner Program (/affiliation), the commission paid applies exclusively to the amount of the referred customer's base monthly subscription, excluding any amount billed as a quota overage (section 9.4). A quota overage therefore never generates a commission, regardless of its amount.
The calculation base is locked to the plan the referred customer subscribed to at their first payment. If that customer later upgrades to a higher plan (for example Starter to Pro), the commission keeps being calculated on the original plan and is not increased. If the customer instead downgrades to a lower plan, the commission is recalculated on that new, lower plan.
The base rate (27%, or any rate that substitutes for it outside the launch tiers shown on the Partner Program page) is only due for the first 12 months following the referred customer's first payment. Past that point, no commission is due on that subscription, regardless of any tier otherwise in effect.
A commission becomes payable after a single 30-day hold, counted from the referred customer's actual payment date (not from the billing date or the link attribution date). It is paid once, by bank transfer, once the cumulative balance reaches 50 (EUR / GBP / USD depending on the partner's market). Above 1,200 per commission, payout requires manual review before it is released — it is never split into several payments.
If the referred customer's payment is refunded or disputed during or after this period, the corresponding commission is voided (if not yet paid) or deducted from the next payout (if already paid).

12. Governing law and jurisdiction
These Terms are governed by the law of the State of Wyoming (USA), where Doxalio International LLC is incorporated. In the event of a dispute, an amicable solution will be sought first. Failing that, the competent courts of Wyoming shall have exclusive jurisdiction, without prejudice to any mandatory rights a consumer may have under the law of their country of residence.
